HyperChat terms of service

1. Agreement and provider

These terms govern access to HyperChat. The service is provided by Clone Centre Ltd, company number 16536248, registered at 145 Moorhey Road, Liverpool, England, L31 5LF ("Clone Centre", "we", "us"). By creating, purchasing or using a HyperChat project, the customer agrees to these terms. If you act for an organisation, you confirm that you can bind it.

2. Service

HyperChat can collect public website material, create a knowledge base, generate an AI chat assistant, capture consented enquiries and deliver connected integration events. Features, allowances, support and fees are those shown in the applicable order, checkout or plan description. Preview and trial functionality may be limited and changed or withdrawn.

3. Accounts and customer responsibilities

  • Provide accurate details and protect admin passwords, private portal links, API keys and webhook secrets.
  • Have authority to use submitted websites, branding, content and personal information.
  • Publish appropriate privacy information and obtain any consent required on websites where the widget appears.
  • Configure, test and monitor the assistant and its integrations, including human escalation for important matters.
  • Tell us promptly about unauthorised access, security incidents or material errors.

4. Agency workspaces and website authority

An agency must hold documented authority from each relevant website owner before asking HyperChat to crawl that website, use its content or operate a chatbot for it. The agency must provide an accurate authority reference and complete the required DNS, well-known file or contract-review verification. Technical verification does not transfer intellectual-property rights or replace privacy, confidentiality, consumer-protection or other legal requirements.

  • Do not bypass a login, paywall, access restriction, robots directive or other technical control.
  • Do not use client content beyond the purpose and duration the client authorised.
  • Review generated content, integrations, consent wording and escalation paths before deployment.
  • Revoke the domain authority and pause or remove the chatbot when the owner's permission ends.
  • Protect agency credentials, assign only required scopes and remain responsible for actions performed through them.

We may request evidence of authority, suspend a build, revoke credentials or remove a chatbot where verification is incomplete, disputed or reasonably suspected to be inaccurate.

5. Acceptable use

You must not use HyperChat to break the law or another person's rights; deceive people about material matters; distribute malware or spam; probe or bypass security or usage limits; scrape private or unauthorised content; create discriminatory or harmful decisions; or provide regulated legal, medical, financial or safety-critical conclusions without appropriately qualified human review. You must not submit special-category or criminal-offence data unless expressly agreed in writing with suitable safeguards.

6. AI limitations

Generative AI is probabilistic. Responses may be inaccurate, incomplete, outdated or unsuitable. HyperChat does not provide legal, medical, financial or other professional advice and does not guarantee a business outcome, lead volume or uninterrupted availability. The customer is responsible for reviewing important outputs and deciding how they are used.

7. Fees, renewal and suspension

Fees, billing periods, included usage and taxes are stated at purchase. Unless the order says otherwise, subscriptions renew for the same billing period until cancelled before renewal. Usage beyond an allowance may be stopped or require an upgrade. We may suspend access for overdue fees, security risk, unlawful use or material breach, taking reasonable steps to notify the customer where practicable.

8. Customer content and intellectual property

The customer retains rights in content it supplies and grants us a limited licence to host, copy, transform and process it to provide and secure HyperChat. Clone Centre and its licensors retain rights in the platform, software, designs, documentation and service improvements. Subject to payment and these terms, the customer receives a non-exclusive, non-transferable right to use the service during the subscription.

9. Data protection

Each party will comply with applicable data-protection law. For visitor personal data processed through a customer's chatbot, the customer is normally controller and Clone Centre is processor. We will process that data to provide and secure the service, follow documented lawful instructions, apply appropriate security, require relevant duties from subprocessors and assist with reasonable rights or incident requests. 10. Third-party services and integrations

HyperChat depends on hosting, AI and other suppliers and may connect to services selected by the customer. Third-party terms, availability and data practices apply to those services. We are not responsible for a customer's external account, configuration or destination, but we remain responsible for our own obligations under these terms.

11. Confidentiality and security

Each party will protect the other's non-public information using reasonable care and use it only for the relationship, except where disclosure is required by law. We maintain technical and organisational measures appropriate to the service. The customer acknowledges that no online system is completely secure and will maintain its own backups of business-critical information.

12. Liability

Nothing excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, anticipated savings or corrupted data. Our total aggregate liability arising from HyperChat in any 12-month period is limited to the fees paid or payable for the affected service in that period. These limits do not reduce the customer's obligation to pay fees or liability for deliberate misuse of our intellectual property or confidential information.

13. Termination

Either party may terminate as allowed by the applicable plan or order. Either party may terminate for a material breach not remedied within 30 days of written notice, or immediately for insolvency or an irremediable breach. On termination, access ends and outstanding fees remain due. The customer should export required data before termination. Provisions intended to survive, including confidentiality, intellectual property, liability and governing law, continue.

14. Changes, law and contact

We may update these terms for legal, security or service changes. Material changes will be notified through the service or customer contact channel and will apply from the stated date. If a material change substantially disadvantages an existing paid customer, it may cancel before that change takes effect. These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
